GC recognizes the important of being in complied with business ethics, regulations, rules and standards, as well as monitoring and evaluation the compliance of its operation to prevent any possible impact to its business. For example, affect to GC's reputation, penalty fine, or lost its license to operate.
Therefore, GC has committed to operating its business in compliance with Business Code of Conduct and Corporate Compliance Policy, which involves the board of directors, executive management and relevant stakeholders, including, suppliers, customers and other companies (Corporate Compliance Policy). Moreover, GC has committed to conduct the compliance reviews to minimize risks from non-compliance with regulations, rules and international standards related to its business. These will uphold company's reputation and reliability to all stakeholder groups.

Business Strategies
GC has appointed the Board of Directors and assigned their roles in corporate governance. The company has also established the Corporate Compliance Policy and taken continuous actions to improve processes in compliance with international principles and standards. Meanwhile, GC fosters a corporate culture that adheres to ethics while encouraging executives and supervisors to act as a role model for employees at all levels. A system has also been put in place to track business operations and performance. Accordingly, any activities that are inconsistent with the principles of Corporate Governance and the Business Code of Conduct can be reported by stakeholders through GC’s whistleblowing

Implementation of Business Code of Conduct and Corporate Governance
GC has developed the Corporate Compliance Policy as a reference for GC executives and employees to strictly comply with corporate policies, rules, and regulations. It also serves as a support for supervisors to become a role model in the organization. In the case of any inquiries regarding the Corporate Compliance And Regulations, employees can contact their immediate supervisors or releveant business functions, namely the Corporate Compliance department or law department, where employees can provide comments or complaints on certain aspects of corporate compliance, including but not limited to antitrust or competition law, via corporatecompliance@pttgcgroup.com. If breaches or non-compliance are confirmed, failure to adhere to the code of conduct will be taken into account during employee remuneration and performance appraisals.
Moreover, GC has provided the Business Code of Conduct handbook as well as training and seminars to all GC executives, employees, suppliers, subcontractors, subsidiary and joint ventrues company, including companies in which GC holds less than 51% of the shares. Upon completion of the training, the stakeholders are required to acknowledge and sign an agreement to abide by the Code.
GC has communicated and provided both classroom training or online training about the Business Codes of Conduct and Corporate Compliance to GC's board of directors, executives and employees. Training for employees, such as Understanding and Compliance to Law, Rule & Regulation related to Subsidiary, and Comply with Corporate Compliance Policy and Code of Conduct, has been organized to ensure employees' understanding on updated information, which is necessary and related to their operations. Compliance
The Company has improved its compliance governance operations to ensure adherence to relevant laws, rules, and regulations. In 2025, the following notable initiatives were undertaken:
- Promoted employee discipline to ensure strict compliance with the Company's work regulations, laws, and rules.
- Reviewed the Compliance Policy to ensure it remains aligned with the roles and responsibilities specified in the charter, various emerging changes, and international standards.
- Enhanced the Compliance Management System to align with international standards, improved Compliance Monitoring guidelines for verifying and tracking legal compliance, and developed Compliance Risk Assessment methodologies for internal work processes to prevent potential risks.
- Provided support and input on compliance governance. The Company developed the E-Legal Excellence system, which serves as a centralized platform for consolidating all business-related legal information into a single database (Single Platform), enabling organization-wide searches of relevant laws and serving as a foundational database for preliminary monitoring of legal and regulatory compliance.
- Established clarity and awareness regarding the importance of conducting business in accordance with sanctions principles by incorporating additional best practices on business operations and sanctions risk management into the Corporate Governance and Business Code of Conduct Handbook.

GRC Integration Performance
GC has been undertaking efforts to integrate Governance, Risk Management & Internal Control, and Compliance (GRC) since 2018 to optimize efficiency in corporate governance, risk management and internal control, and corporate compliance, leading to the strengthening of GRC throughout the organization by implementing various projects. Highlight projects in 2025 include GRC Communication, Character & Culture Creation through GC StandOut x SEEK Day 2025 and GRC Health Check & Performance Measurement to measure the performance and effectiveness of GRC (Governance, Risk, and Compliance) operations within the organization.

GRC Communication, Character & Culture Creation
GC strengthens GRC by encouraging executives to act as a role model and fostering a work culture that focuses on integrity-driven performance to equip employees with awareness of GRC and enable appropriate application in their tasks. In 2025, GC has communicated GRC best practices in the form of “Hook Talk” video clips, Business Unit meetings, and created monthly GRC Newsletter via e-mail and intranet on GRC Webpage to provide knowledge about noteworthy GRC contents. GC also incorporates GRC character into the cultivation of corporate values through the GC Culture Playbook 2nd Edition. Consequently, 97.2% of employees are aware of and recognize the importance of applying GRC principles in their operations.

GC StandOut x SEEK Day 2025
GC organizes the GC StandOut x SEEK Day event annually to build knowledge and understanding of governance, risk management and compliance (GRC) among executives and employees, enabling them to apply these principles appropriately in their work.
This year, the company held GC StandOut x SEEK Day 2025 under the theme ‘Together We Achieve More’ in a hybrid format, with employees able to participate on-site at the RO Room or online via MST Live streaming. The event combined four major initiatives—GC SPIRIT Day, GRC Day, Innovation Day and SEEK Day—held on the same day to foster engagement, strengthen corporate culture, recognize the achievements and dedication of employees and inspire collaboration in driving the organization toward sustainability under the GC StandOut theme.
The event featured a variety of learning activities, including a vision address from senior executives (tone at the top), panel discussions with department-level executives sharing their experiences in applying GRC to their work and the GRC Pride Award ceremony honoring employees who demonstrated outstanding GRC behaviors. Award recipients also shared their experiences in applying GRC principles to inspire their colleagues.
Additionally, the event showcased two outstanding SEEK projects and four GC StandOut Showcases representing each business unit, reflecting the implementation of GC SPIRIT 4 Core Behaviors: creativity, innovation, collaborative working and cross-functional cooperation.
GC StandOut x SEEK Day 2025 attracted over 1,150 participants, comprising 450 on-site attendees and 700 online participants. The overall satisfaction rating from participants was 96%.



GRC Health Check & Performance Measurement
GC conducts GRC Health Check annually to evaluate internal GRC performance in four aspects, namely Awareness, Application/ Implementation, Knowledge and Understanding, and Communication and Tone of Management. Based on 2025’s evaluation results, more than 97.5% of employees agreed that GRC Performance of their business unit is effective.

GRC Portal
GC has created the GRC Portal as a central platform to compile information, knowledge and news, such as Conflict of Interest Report, Gift Acceptance Reporting, Enterprise Risk Management (ERM), Control Self-assessment, Business Continuity Management and Whistleblowing, etc., to provide employees with convenient access to GRC knowledge. GC has also launched communication channels to receive matters and recommendations regarding risk management. The GRC Portal can be accessed via the company’s intranet.

GRC Pride Award 2568
GC has organized the GRC Pride Award to honor employees who have demonstrated outstanding GRC behaviors and the potential to become a good role model for other employees. Supervisors will nominate employees with outstanding GRC behaviors to the GRC Working Group, who will review their qualifications according to the specified criteria. Nominees that have been approved will be presented with a certificate signed by GC’s senior management. In 2025, a total of 175 employees from several departments under GC and subsidiaries received approval for this award. In addition, GC plans to upgrade this awarding scheme to cover teams, business units, departments, or GC Group subsidiaries in the future.


GGRC Roadshow RC
GC has conducted the GRC Roadshow project to enhance knowledge and understanding of GRC principles and new risk management skills through practical case studies. The trainings were imparted via MS Teams. In 2025, the GRC Roadshow hosted 4,739 participants from 4 batches, 91.6% of whom expressed satisfaction and agreed that they are capable of applying the acquired knowledge with efficiency. Therefore, GC is determined to continue this project and keep its contents on par with current situations.

Related Party Transaction and Material Transaction Monitoring
GC oversees Related Party Transaction (RPT) and Material Transaction (MT) in accordance with the criteria established by the Securities and Exchange Commission (SEC). In 2025, GC updated the RPT & MT Handbook for more comprehensiveness and launched additional channels on the intranet to offer employees convenient access to RPT-related information and forms. Such effort enables GC to oversee transactions with accuracy. In addition, GC organizes trainings to enhance understanding of RPT & MT for concerned employees on an annual basis to ensure that they can perform their duties correctly in accordance with applicable criteria and procedures.
Monitoring Subsidiary's Corporate Compliance Systems
GC annually monitors subsidiary's corporate compliance and shares knowledge on the corporate governance and business code of conduct. The knowledge-sharing platform can be done through the training sessions under the cooperation between the subsidiary's GRC functions (Governance - Risk Management and Internal Control - Compliance). These are to ensure that the subsidiaries are complied with the corporate governance and business code of conduct policy and guideline, and relevant laws, rules and regulations. The recommendations acquire from the evaluation will be used in collaborative improvement with the subsidiaries.
GC has established the Code of Conduct & Compliance Policy and Monitoring Checklist Project in order to assess the practices of compliance policy that are part of GC Way of Conduct, which could reduce the compliance risk. In 2025, it was found that all departments assessed and monitored across the Group companies demonstrated compliance with the compliance governance policy.
Corporate Compliance Verification Systems
GC verifiers and evaluates its Corporate Compliance System to ensure the effectiveness of GC's operation in line with the international standards and related regulations. The verification and evaluation of the Corporate Compliance System covered the following five aspects.
GC evaluates and analyses compliance processes to ensure compliance system regarding relevant laws, regulations, and requirements. In 2024, the company established a Compliance Management System to enhance its operational processes in alignment with the international standard ISO 37301:2021 Compliance Management Systems. In 2025, the company developed a compliance monitoring procedure to further improve the efficiency of its compliance monitoring.
